User Terms

These User Terms apply to you if you access or use the Ollify platform (the "Service") as an individual — for example, as an employee, contractor, or other authorized user of a business that has an active Ollify subscription (the "Business"). By creating your individual login, setting your password, or otherwise accessing the Service, you agree to these User Terms.
1. Your Relationship to the Business
These User Terms govern your own individual use of the Service, separately from the Business's own agreement with Ollify (the Terms of Service, available at ollify.app/legal/terms). How these User Terms apply to you depends on your role:
If you are the account owner (the person who created the Business's account), you are also individually bound by these User Terms in your own capacity as a user of the Service, in addition to the Business's obligations under the Terms of Service. You control who else is added to the Service, what role and permissions they are given, and when their access is removed.
If you were added to the Service by the Business (for example, as an employee or contractor), your access is provided through the Business's account, not through a separate contract of your own with Ollify. The Business — through its account owner or another administrator — controls your access: it decides your role and permissions and can remove your access at any time. Ollify follows the Business's instructions regarding your account.
These User Terms do not make you a party to the Business's own agreement with Ollify.
2. Your Account
Accurate information. You agree to provide accurate information when setting up your individual login.
Credential security. You are responsible for keeping your password confidential and for all activity that occurs under your login. Notify the Business or Ollify support immediately at support@ollify.app if you suspect unauthorized use of your account.
One person per login. Your login is for your own individual use. You may not share your credentials with another person or allow someone else to access the Service using your login.
3. Acceptable Use
Your use of the Service is subject to Ollify's Acceptable Use Policy ("AUP"), available at ollify.app/legal/acceptable-use-policy, which is incorporated into these User Terms by reference. A violation of the AUP is a violation of these User Terms, and is grounds for Ollify or the Business to suspend or remove your individual access.
4. Data You Enter
Any information, content, or data you submit to the Service while using the Business's account — including notes, records, files, and communications — belongs to the Business, not to you personally, in the same way it would if you created it using any other tool the Business provided you for work. The Business, not you, controls that data, including decisions about exporting, correcting, or deleting it.
Ollify's handling of personal information, including information about you individually (such as your name and email address used for your login), is described in our Privacy Policy, available at ollify.app/legal/privacy.
5. No Direct Billing Relationship
If you were added to the Service by the Business, you are not personally responsible for any subscription fees, charges, or payment obligations related to the Service. Those obligations belong to the Business under its own agreement with Ollify.
6. Suspension and Termination of Your Access
If you were added by the Business. The Business — through its account owner or another administrator — may remove your access at any time, for any reason, including if your employment or engagement with the Business ends.
If you are the account owner. If the Business's subscription ends or is cancelled, your own access, and the access of anyone else you added, ends as well.
By Ollify. Ollify may suspend or terminate your individual access if you violate these User Terms or the AUP, independent of any action by the Business.
Effect of removal. Once your access is removed, you may no longer log in to the Service. Data you entered while using the Business's account remains with the Business, not with you.
7. Disclaimer and Limitation of Liability
The Service is provided to you on an "as is" basis through the Business's subscription. To the maximum extent permitted by applicable law, Ollify disclaims all warranties regarding your individual use of the Service, and Ollify's liability to you individually arising from your use of the Service is limited to the maximum extent permitted by law. Nothing in this section is intended to reduce any protection the Business has negotiated for itself under its own agreement with Ollify.
8. Governing Law and Dispute Resolution
8.1 Informal Resolution. Before starting a formal legal proceeding against Ollify relating to these User Terms, you agree to contact us at legal@ollify.app and attempt to resolve the dispute informally for at least thirty (30) days. This does not apply to a request for emergency injunctive relief.
8.2 Binding Arbitration. If informal resolution does not resolve the dispute, any dispute, controversy, or claim arising out of or relating to these User Terms or your individual use of the Service will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will be conducted by a single arbitrator in English. The arbitrator's decision is final and binding and may be enforced in any court of competent jurisdiction.
8.3 Governing Law and Venue. These User Terms are governed by the laws of the State of Mississippi, without regard to conflict of laws principles. For any matter not subject to arbitration, including a request for emergency injunctive relief, you and Ollify each consent to the exclusive jurisdiction of the state and federal courts located in Mississippi.
8.4 Class Action Waiver. You and Ollify each waive the right to bring or participate in any class action, collective action, or representative proceeding arising out of or related to these User Terms or your use of the Service. All claims must be brought in your or our individual capacity only.
8.5 Small Claims. Notwithstanding Section 8.2, you or Ollify may bring an individual action in small claims court if the claim qualifies under the applicable small claims court rules.
8.6 Time Limitation. Any claim arising out of or related to these User Terms or your use of the Service must be brought within one (1) year of the date the cause of action first arose, or the claim is permanently waived and barred.
8.7 Jury Trial Waiver. To the extent any dispute proceeds in court rather than in arbitration, you and Ollify each waive any right to a jury trial in any proceeding arising out of or related to these User Terms or your use of the Service.
9. Changes to These User Terms
We may update these User Terms from time to time, such as to reflect changes in the Service or in applicable law. We will post the updated version with a new Last Updated date. If a change is material, we will provide at least thirty (30) days' advance notice before it takes effect, delivered to the email address associated with your account or by notice inside the Service. Any change to the arbitration agreement or class action waiver in Section 8 is always treated as material for this purpose.
