Ollify LLC
User Terms
Effective October 21, 2026 at 6:17 p.m. ET | Last Updated October 21, 2026 | Version 1.2
These User Terms apply to you if you access or use the Ollify platform (the "Service") as an individual — for example, as an employee, contractor, or other authorized user of a business that has an active Ollify subscription (the "Business"). By creating your individual login, setting your password, or otherwise accessing the Service, you agree to these User Terms.
1. Your Relationship to the Business
These User Terms govern your own individual use of the Service, separately from the Business's own agreement with Ollify (the Terms of Service, available at ollify.app/legal/terms). How these User Terms apply to you depends on your role:
If you are the account owner (the person who created the Business's account), you are also individually bound by these User Terms in your own capacity as a user of the Service, in addition to the Business's obligations under the Terms of Service. You control who else is added to the Service, what role and permissions they are given, and when their access is removed. Olli's data and action features are on unless the Business turns them off, and the Business controls them through its account owner or an administrator it authorizes. Whether you can use them depends on that setting and on the permissions the Business gives you.
If you were added to the Service by the Business (for example, as an employee or contractor), your access is provided through the Business's account, not through a separate contract of your own with Ollify. The Business — through its account owner or another administrator — controls your access: it decides your role and permissions and can remove your access at any time. Ollify follows the Business's instructions regarding your account.
These User Terms do not make you a party to the Business's own agreement with Ollify.
2. Your Account
2.1 Accurate information. You agree to provide accurate information when setting up your individual login.
2.2 Credential security. You are responsible for keeping your password confidential and for all activity that occurs under your login. Notify the Business or Ollify support immediately at support@ollify.app if you suspect unauthorized use of your account.
2.3 One person per login. Your login is for your own individual use. You may not share your credentials with another person or allow someone else to access the Service using your login.
3. Acceptable Use
Your use of the Service is subject to Ollify's Acceptable Use Policy ("AUP"), available at ollify.app/legal/acceptable-use-policy, which is incorporated into these User Terms by reference. A violation of the AUP is a violation of these User Terms, and is grounds for Ollify or the Business to suspend or remove your individual access.
Your use of Olli's actions is also subject to the Olli Actions Supplemental Terms at ollify.app/legal/olli-actions-terms and the AI Features rules in the AUP.
4. Data You Enter
Any information, content, or data you submit to the Service while using the Business's account — including notes, records, files, and communications — belongs to the Business, not to you personally, in the same way it would if you created it using any other tool the Business provided you for work. The Business, not you, controls that data, including decisions about exporting, correcting, or deleting it.
Ollify's handling of personal information, including information about you individually (such as your name and email address used for your login), is described in our Privacy Policy, available at ollify.app/legal/privacy.
4.1 Olli, Ollify's AI assistant. Olli answers questions about how to use the Service and is labeled as AI. Olli can be wrong, so check anything important before you rely on it. Unless the Business has turned them off, Olli can also look up records in the Business's workspace that you are permitted to see, and propose changes for you to confirm. Olli can only do what you could do yourself, and nothing changes until you confirm it. A change you confirm is made under your login and recorded in the Business's audit log, where it appears as your own change with a separate entry showing it was made through Olli. Your words, and the records Olli looks up, are sent to Ollify's AI provider to produce an answer. Please do not type sensitive personal, health, or payment information into Olli. Olli asks for your agreement before your first message is sent, and you can turn Olli off at any time in your Profile. Ollify keeps a record that you asked Olli a question or confirmed a change (who, when, how large the exchange was, and which record was changed), and the Business's administrators can see that record. If you use Olli's data features, your conversations are saved in your workspace, visible only to you (the Business's administrators cannot read them), until you delete them or they have been inactive for 18 months. A plain-language description of Olli is available at ollify.app/legal/olli-explainer. Ollify's handling of this information is described in our Privacy Policy.
5. No Direct Billing Relationship
If you were added to the Service by the Business, you are not personally responsible for any subscription fees, charges, or payment obligations related to the Service. Those obligations belong to the Business under its own agreement with Ollify.
6. Suspension and Termination of Your Access
6.1 If you were added by the Business. The Business — through its account owner or another administrator — may remove your access at any time, for any reason, including if your employment or engagement with the Business ends.
6.2 If you are the account owner. If the Business's subscription ends or is cancelled, your own access, and the access of anyone else you added, ends as well.
6.3 By Ollify. Ollify may suspend or terminate your individual access if you violate these User Terms or the AUP, independent of any action by the Business.
6.4 Effect of removal. Once your access is removed, you may no longer log in to the Service. Data you entered while using the Business's account remains with the Business, not with you.
7. Disclaimer and Limitation of Liability
The Service is provided to you on an "as is" basis through the Business's subscription. To the maximum extent permitted by applicable law, Ollify disclaims all warranties regarding your individual use of the Service, and Ollify's liability to you individually arising from your use of the Service is subject to the exclusions and limits in Section 11 of the Terms of Service, which apply to you and the Business together, not separately. Nothing in this section is intended to reduce any protection the Business has under its own agreement with Ollify.
8. Governing Law and Dispute Resolution
8.1 Informal Resolution. Before starting a formal legal proceeding against Ollify relating to these User Terms, you agree to contact us at legal@ollify.app and attempt to resolve the dispute informally for at least thirty (30) days. This does not apply to a request for emergency injunctive relief.
8.2 Binding Arbitration. If informal resolution does not resolve the dispute, any dispute, controversy, or claim arising out of or relating to these User Terms or your individual use of the Service will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will be conducted by a single arbitrator in English. The arbitrator's decision is final and binding and may be enforced in any court of competent jurisdiction.
8.3 Governing Law and Venue. These User Terms are governed by the laws of the State of Mississippi, without regard to conflict of laws principles. For any matter not subject to arbitration, including a request for emergency injunctive relief, you and Ollify each consent to the exclusive jurisdiction of the state and federal courts located in Mississippi.
8.4 Class Action Waiver. You and Ollify each waive the right to bring or participate in any class action, collective action, or representative proceeding arising out of or related to these User Terms or your use of the Service. All claims must be brought in your or our individual capacity only.
8.5 Small Claims. Notwithstanding Section 8.2, you or Ollify may bring an individual action in small claims court if the claim qualifies under the applicable small claims court rules.
8.6 Time Limitation. Any claim arising out of or related to these User Terms or your use of the Service must be brought within one (1) year of the date the cause of action first arose, or the claim is permanently waived and barred.
8.7 Jury Trial Waiver. To the extent any dispute proceeds in court rather than in arbitration, you and Ollify each waive any right to a jury trial in any proceeding arising out of or related to these User Terms or your use of the Service.
9. Changes to These User Terms
We may update these User Terms from time to time, such as to reflect changes in the Service or in applicable law. We will post the updated version with a new Last Updated date. If a change is material, we will provide at least thirty (30) days' advance notice before it takes effect, delivered to the email address associated with your account and by notice inside the Service. Any change to the arbitration agreement or class action waiver in Section 8 is always treated as material for this purpose, and applies only to disputes that arise after the change takes effect.
