Refund Policy

This Refund and Cancellation Policy describes how Ollify LLC ("Ollify," "we," "us," or "our") handles subscription cancellations, refund requests, and billing disputes for the Ollify platform and related services (the "Service"). This policy is incorporated into and forms part of our Terms of Service.

1. Cancellation

1.1 Right to Cancel. You may cancel your Ollify subscription at any time, for any reason, without penalty. Cancellation does not require a phone call, a written explanation, or advance notice beyond completing the cancellation process described in Section 4.

1.2 When Cancellation Takes Effect. Cancellation takes effect at the end of your current billing period — not immediately. If you cancel a monthly subscription on the 15th of the month, your subscription continues until the end of that month. If you cancel an annual subscription on day 100 of your annual period, your subscription continues until the end of that annual period. You will not be billed again after cancellation.

1.3 Access After Cancellation. You retain full access to the Service until the end of your current billing period. After your billing period ends:

1. (a)

   your account is closed: the owner and administrators can still sign in, read-only, to export your data, and no one else can sign in;

2. (b)

   your data enters a 60-day export window during which the owner and administrators can export it themselves, or contact support@ollify.app for help;

3. (c)

   after the export window closes, your data is deleted per Section 5 and our Privacy Policy.

You will receive an email confirmation of your cancellation and reminders about the data export window. If you subscribe to Olli Actions, it stops when your billing period ends, and your business returns to the free monthly allowance. Olli conversations stored in your workspace are Customer Data and follow the export and deletion rules in this Section.

2. Refund Policy

2.1 Monthly Plans. Monthly subscriptions are billed in full at the start of each billing period. We do not issue refunds or credits for partial months. If you cancel a monthly subscription, your access continues to the end of the current month and no further charges are made. No refund is issued for the remaining days of the month.

2.2 Annual Plans. Annual subscriptions are billed in full at the start of the annual period. In general, annual subscription fees are non-refundable. If you cancel an annual subscription, your access continues to the end of the annual billing period and no refund is issued for the unused portion.

2.3 How Refunds Are Processed (Monthly and Annual Plans). Ollify does not offer a self-service refund button or automated refund process. All refunds are reviewed and issued manually. A refund is available only in the circumstances described in Section 2.5 (Refunds for Service Issues) — such as a demonstrated billing error — not for general dissatisfaction with the Service or a decision to stop using it. This applies equally to monthly and annual subscriptions.

2.4 Free Trial. Ollify offers a fourteen (14) day free trial for new subscribers. The following terms apply:

• A valid payment method is required to start a free trial. Your payment method is not charged until the trial period ends.

• If you do not cancel before the end of the free trial period, your subscription automatically converts to a paid subscription and your payment method is charged for the first billing period.

• You may cancel a free trial at any time before the trial ends through the cancellation method described in Section 4 to avoid being charged.

• No refund is issued if you cancel within the first billing period following trial conversion. The fourteen (14) day free trial, during which no payment method is charged, is the mechanism for evaluating the Service before committing to a paid subscription.

2.5 Refunds for Service Issues. Service credits are the standard remedy for downtime and performance issues, as described in our Service Level Agreement. In addition to SLA credits, Ollify may issue a partial or full refund at its discretion where:

1. (a)

   a significant service failure has materially prevented Customer from using the Service for an extended period;

2. (b)

   a billing error has resulted in an overcharge; or

3. (c)

   other circumstances exist where a refund is fair and appropriate.

Refund requests for service issues must be submitted to billing@ollify.app within thirty (30) days of the issue. Olli can give an incorrect answer or propose an incorrect change. An incorrect answer, a change a user confirmed, and unused monthly actions are not a service failure under (a) and are not refundable. Olli is not covered by service credits.

2.6 Early Termination of Committed Contract Terms. Month-to-month subscriptions may be cancelled at any time with no early termination fee. Annual and multi-year subscriptions that are prepaid in full are governed by the refund provisions of Section 2.2 — no early termination fee applies, and no refund is issued for the unused portion of the prepaid term.

If your Order Form provides for a committed contract term billed in monthly or other periodic installments, and you cancel prior to the end of the committed term, an early termination fee ("ETF") applies as follows:

1. (a)

   for an annual committed term, the lesser of fifty percent (50%) of the remaining fees due for the balance of the term or three (3) months' subscription fees at the contracted rate; and

2. (b)

   for a multi-year committed term, the lesser of fifty percent (50%) of the remaining fees due for the balance of the term or six (6) months' subscription fees at the contracted rate.

ETF terms in a Custom Enterprise Agreement or Order Form control over this Section to the extent of any conflict.

If an ETF applies to your cancellation:

1. (a)

   Ollify will issue an ETF invoice within five (5) business days of the cancellation effective date;

2. (b)

   payment is due within thirty (30) days of the invoice date; and

3. (c)

   the ETF may be charged to the payment method on file unless an alternative payment arrangement is agreed upon in writing.

Ollify may waive the ETF at its sole discretion, including where: Ollify has experienced a material service outage exceeding seventy-two (72) consecutive hours within the prior ninety (90) days; Ollify has materially changed the Service in a manner that substantially reduces core functionality; or the customer is an active-duty military servicemember receiving deployment or Permanent Change of Station (PCS) orders. To request an ETF waiver, contact support@ollify.app with supporting documentation.

2.7 Declined Material Change to the Terms. If Ollify makes a Material Change to the Terms of Service (as defined in the Terms) and you decline it during the notice period as the Terms provide, you may terminate your subscription effective on the date the change takes effect (or any earlier date you choose), and Ollify will refund the pro-rata portion of any prepaid, unused fees for the period after termination. This is the only circumstance, other than Section 2.5, and the Terms' warranty provisions, in which prepaid fees for a partial subscription period are refunded.

2.8 Olli Action Packs. Prepaid action packs are one-time purchases and are non-refundable once purchased, except that, if a pack is charged but not added to your account, Ollify will refund or cancel the payment or, if neither is possible, add the pack to your account, and if your card is declined the charge is cancelled and no pack is added. Section 2.5 does not apply to packs. How long a pack lasts, and what happens to it if you cancel or your account closes, is in the Olli Actions Supplemental Terms. Olli Actions subscription fees remain subject to Sections 2.1 and 2.2. Unused included actions do not carry a refund. A receipt and invoice are emailed for each purchase.

3. Auto-Renewal

3.1 Automatic Renewal Terms. Your Ollify subscription automatically renews at the end of each billing period for the same duration unless you cancel before the renewal date. Monthly subscriptions renew monthly. Annual subscriptions renew annually. Renewal charges are applied to the payment method on file at Ollify's then-current pricing for your subscription tier.

3.2 Pricing at Renewal. Subscriptions renew at Ollify's then-current pricing unless you are on a locked pricing plan as specified in your Order Form. Ollify will provide at least thirty (30) days' notice of any price increase before your next renewal date, and for an annual plan the renewal notice states the exact price of that renewal. If you do not cancel before the effective date of a price increase, your renewal will be charged at the new price.

3.3 Renewal Notification. For annual subscriptions, Ollify will send a renewal reminder email to the address associated with your account at least thirty (30) days before your renewal date. The reminder will include the renewal date, the amount to be charged, and instructions for cancelling if you do not wish to renew. For monthly subscriptions, a renewal reminder is not sent, but your billing date and amount are visible in Staff Portal → Management → Billing at all times.

3.4 Failed Renewal Payments. If a renewal payment fails, Ollify will:

1. (a)

   notify you by email of the failed payment, with additional reminder notices during the retry period;

2. (b)

   attempt the charge at least three times within the fourteen (14) day period, with the final attempt no later than day thirteen (13), against your primary payment method (backup payment method designations per Terms of Service Section 4.2C are not yet used automatically during this retry process);

3. (c)

   suspend your account if payment is not received within fourteen (14) days of the original renewal date.

The account remains fully available for existing service during the retry period; new purchases and upgrades — including additional seats, add-ons, tier changes, or switching to annual billing — are paused until the outstanding balance is settled. Upon suspension, your account becomes read-only: you can sign in and view your data, but cannot make changes, add users, or use paid features, and your billing page remains reachable so you can view and pay amounts owed. Olli does not carry out changes while your account is read-only or suspended. Your data is retained for sixty (60) days. If your subscription has not been cancelled, paying the outstanding balance within that period automatically restores your access in Staff Portal → Management → Billing. If your subscription has been cancelled, or the sixty (60) day period has elapsed, reactivation requires contacting support@ollify.app.

4. How to Cancel

Cancelling your Ollify subscription is straightforward and does not require a phone call, a written explanation, or speaking with a sales representative. You may cancel using any of the following methods:

Upon cancellation you will receive:

1. an email confirmation of your cancellation;

2. the date your access ends; and

3. a reminder about your 60-day data export window.

Please save this confirmation email for your records.

If your subscription is set to cancel at the end of the current period, you can resume it at any time before then using Resume subscription in Management → Billing.

You can cancel Olli Actions on its own at any time in Management → Add-Ons (open Olli, then choose Cancel Add-on). It stays active until the end of your current billing period, and no credit is given for unused actions. What happens to prepaid packs when you cancel is described in the Olli Actions Supplemental Terms.

Ollify does not currently offer a subscription pause. If you need a temporary break from the Service, contact support@ollify.app.

7. Termination by Ollify; Survival

7.1 Cancellation by Ollify. Ollify may suspend or terminate your subscription in accordance with the termination provisions of the Terms of Service, including for: non-payment of subscription fees after applicable cure periods; material or repeated violations of the Acceptable Use Policy; fraud, misrepresentation, or illegal activity; or as required by applicable law or court order. In the event of termination by Ollify for cause, the data retention and refund provisions of this policy may be modified as described in the Terms of Service. Termination for non-payment does not waive Ollify's right to collect outstanding fees.

7.2 Outstanding Amounts. Cancellation does not relieve you of responsibility for outstanding invoices or unpaid fees incurred prior to the cancellation effective date, including subscription fees for the final billing period and any applicable early termination fee. All outstanding balances remain due and payable in accordance with the payment terms of the Terms of Service.

7.3 Survival. The following obligations survive cancellation or termination of your subscription: payment obligations; confidentiality obligations with respect to Ollify's proprietary information; indemnification obligations arising from your use of the Service prior to cancellation; data deletion obligations under the applicable Data Processing Agreement (DPA); and the dispute resolution and governing law provisions of the Terms of Service.

8. Chargebacks

If you have a billing concern, we strongly encourage you to contact us at billing@ollify.app before initiating a chargeback with your payment provider. Most billing issues can be resolved quickly and amicably through direct communication.

If you initiate a chargeback without first contacting Ollify, or if a chargeback is determined to be fraudulent or in bad faith:

1. your account may be immediately suspended pending investigation;

2. Ollify reserves the right to dispute the chargeback and provide documentation of the subscription and services provided;

3. in cases of fraudulent chargebacks, Ollify reserves the right to terminate your account and pursue all available legal remedies; and

4. you remain responsible for all amounts properly owed.

9. Taxes

Subscription fees are exclusive of all applicable taxes, levies, and duties. Where required by law, Ollify collects and remits applicable sales tax, VAT, GST, or other transaction taxes through Stripe Tax. The applicable tax amount will be displayed before you are charged and will appear as a separate line item on your invoice.

You are responsible for any taxes applicable to your subscription that are not collected by Ollify. If you are a tax-exempt organization, contact billing@ollify.app with documentation of your tax-exempt status before subscribing. Tax exemption cannot be applied retroactively to past charges.

10. Disputed Charges

10.1 How to Dispute a Charge. If you believe you have been charged incorrectly, contact billing@ollify.app within thirty (30) days of the charge date. Include your account email, the charge date and amount, and the reason for the dispute. Disputes submitted after thirty (30) days may not be eligible for review.

10.2 Investigation. Ollify will investigate all disputed charges and provide a written response within fourteen (14) business days of receiving your dispute. If a billing error is confirmed, Ollify will issue a credit or refund within five (5) business days of the determination. If the charge is confirmed as correct, Ollify will provide documentation of the basis for the charge.

10.3 Disputed Charges During Investigation. Your account will not be suspended due to a disputed charge while an investigation is active, provided you have contacted billing@ollify.app within the thirty (30) day dispute window and have paid all undisputed amounts.
